Terms and Conditions

The following Terms and Conditions apply to all courses, retreats, events, masterminds, mentorships, coaching services, private sessions or any other service offered by Source Energetics FZCO (hereafter, Source Energetics), on any and all domains and platforms, online and offline (hereafter, the Services). Please read them carefully. Your registration for the Services confirms full acceptance of the Terms and Conditions hereunder. If you (hereafter, the Participant) have any questions about these Terms and Conditions, please clarify them BEFORE signing up for the Services.

I. General Terms and Conditions

1. DISCLAIMER 

As a client of Source Energetics, you understand that all information and techniques, skills and concepts that are shared are the property of Source Energetics and are for education purposes only. They must not be interpreted as any type of medical, professional or other advice.

No representations or warranties are made with respect to the results to be obtained from the Services.

2. UPDATES IN TERMS AND CONDITIONS

Source Energetics reserves the right to update these Terms and Conditions at any time. Please take the time to review them carefully each time you register for new services. If at any time you choose not to accept these Terms and Conditions of use, do not purchase new Services. You are bound to these Terms and Conditions until the completion of your current Service. Source Energetics reserves the right to vary the duration, terms and conditions of the products and services or make other changes as reasonably required.

3. INTELLECTUAL PROPERTY AND COPYRIGHT

The Participant understands and acknowledges that the contents of the Source Energetics domains, the marketing communication, social media, content hosted on third-party platforms and all Services, online and offline, are protected by copyright and trademark laws, and are the property of Source Energetics. Unless stated otherwise, you may use the purchased materials and content exclusively for your own private use. This means you may download a copy of any downloadable materials on a single computer for personal, non-commercial home use only. Non-downloadable materials must be consumed directly on the platform where they are hosted. Illegal capture, distribution, display, transmission or modification of the content is expressly forbidden. You may not change or delete any author attribution, trademark, legend or copyright notice. Downloading copyrighted material does not grant you ownership of said material.

With regards to purchased Services, all materials, including but not limited to written copy, videos, images, audio files, workbooks and accessory materials are considered confidential and proprietary (hereafter, the Confidential Content). By purchasing the Services, the Participant agrees to protect said Confidential Content and warrants that the Participant will not directly or indirectly copy, modify, distribute, resell, lease, lend, display or teach these contents in whole or in part, nor will the Participant allow others to do so. 

For the purposes of this Agreement, “Participant” will be deemed anyone who receives the Services of Source Energetics, via purchase or for free.

The Participant may not exploit the content of the Services in any way. The use of any part of the content for Fair Use purposes is expressly prohibited without prior written consent from Source Energetics.

4. SERVICES OFFERED ON THIRD-PARTY PLATFORMS

Source Energetics is not responsible for ensuring availability, correct function or usability of third-party online platforms used to host the Services. For any and all issues arising from such platforms, please contact their relevant support services.

5. WAIVER

By Purchasing a Service from Source Energetics, you understand and agree that you may be waiving rights of which you may not yet be aware. 

6. LIMITATION OF LIABILITY

All Services are provided “as is”. Source Energetics disclaims warranties of any kind, express or implied, to the maximum extent of the law, express or implied, including but not limited to implied warranties that the Services will be uninterrupted Or Error-Free, That Defects Will Be Corrected, or that the hosting server is free of viruses or other malicious components. Source Energetics will not be held responsible for any reparation costs to your equipment. You are responsible for ensuring adequate protection against viruses or other malicious software.

7. SERVICE FEES

Source Energetics reserves the right to change pricing for any and all Services on offer. If you have purchased a Service prior to a price change, this change will not apply to you.

8. PARTICIPANT COMMUNICATION GROUPS

As part of certain Services, Participants may be invited to join communication groups. Such participation is voluntary. Your joining a communication group is subject to the following conditions: 

1. You understand that these groups are considered part of the Services, and as such, any materials shared by Source Energetics in the group is bound by the Intellectual Property clause I.3. above, and therefore, considered Confidential Information.
2. By submitting information in the groups you agree that any and all information you disclose is non-confidential for all purposes, and that you are legally allowed to disclose such information. Please exercise extreme caution when sharing personal information, including personally identifiable information, with others.
3. By participating in these communication groups, you agree to not disclose copyrighted material property of third parties, or any material that may infringe or violate any intellectual property rights of any party. 
4. Any and all information or content you post in the group will be considered your intellectual property, to the extent that you are the creator of such content. Posting content not created by you in the group does not automatically grant you intellectual property of said content. 
5. By sharing content in the group, you are automatically granting Source Energetics worldwide, royalty-free, perpetual license to use said content for promotional purposes. Furthermore, you represent and warrant that you have obtained on behalf of Source Energetics worldwide, royalty-free, perpetual license for promotional purposes of any third-party content you share.
6. Source Energetics is under no obligation to intervene or remove content in the event that any content shared by Participants, if it does not infringe any criminal laws. Moreover, Source Energetics reserves the right to monitor, delete and/or demand deletion of any content at the sole discretion of the Source Energetics team. 

9. ACCURACY OF INFORMATION

Source Energetics strives to provide accurate information in all content, including but not limited to Service descriptions, content, links, pricing, media, dates and locations of events. Due to human error and other unforeseeable variables, we cannot guarantee total accuracy. In the event that an error is found in a Service description, social media post or any other content on any and all domains or platforms where Services are hosted, Source Energetics reserves the right, at its sole discretion, to remove the inaccurate information and make decisions in good faith on any purchases of the affected Service/s. In the event that your purchase is affected, you will be contacted via email.

11. GOVERNING LAW

This Agreement and each of the documents contemplated by or delivered under or in connection with this Agreement are governed by and are to be construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein and treated in all respects as an Ontario contract. The parties hereby irrevocably and unconditionally attorn to the exclusive jurisdiction of the courts of the Province of Ontario and all courts competent to hear appeals therefrom.

12. NO WAIVER

Failure of either party to enforce its rights hereunder at any time for any period shall not be construed as a waiver of such rights. None of the terms of this Agreement shall be deemed to have been waived by any act or acquiescence of either Party. Only an additional written agreement can constitute waiver of any of the terms of this Agreement between the Parties.

13. SEVERABILITY

If any part, term or provision of this Agreement is held to be unlawful or unenforceable, such part, term or provision shall be deemed null and void. In this event, the validity and enforceability of the remainder of this Agreement shall remain intact.

14. ENTIRE AGREEMENT

This Agreement constitutes the full understanding between the Participant and Source Energetics for the purchased Services and supersedes all prior representations, writings, negotiations or understandings with respect hereto, written or oral. For previously purchased Services, the Terms and Conditions valid at the time of purchase shall apply.

II. Programs

1. FULL COMMITMENT

Each Course and/or Mentorship program (hereafter, Program) is designed to be held for a specific time period. Due to the nature of these Programs, you are required to commit to the full duration and cost from the start. Leaving the Program before completion will not be eligible for refunds, in full or in part. Any pending money installments will still be payable, even if you decide to leave the Program.

2. PAYMENT

Depending on the Program and your chosen payment method, payments will be made in full prior to the start date of the Program, or in monthly installments. Leaving the Program before completion will not be eligible for refunds, in full or in part. Any pending money installments will still be payable, even if you decide to leave the Program.

3. LIFELONG ACCESS

Upon successful completion of the Program, the Participant will retain lifelong access to the Program. The Terms and Conditions herewith apply perpetually to the entirety of the Program. 

Source Energetics does not warrant the perpetual continuation of any Participant groups and may disband said groups at its sole discretion. You may leave any group at any time. Source Energetics strongly recommends remaining in the group until successful completion of the Program.

Source Energetics reserves the right to update/modify the Program content at any time and at its sole discretion. Any and all current and previous editions of the content remain perpetually bound by the Terms and Conditions herewith, especially the Intellectual Property Rights and Confidentiality section I.3. above. 

III. Retreats / Events

The following Terms and Conditions apply for all offline, in-person events, and retreats hosted by Source Energetics (hereafter, the Event).

1. The deposit is due upon registration.
2. The full balance due is to be paid 30 days prior to the retreat. 
3. If one must cancel their reservation, we will not refund your deposit.
   With a 60 days notice, remaining payments are refundable with a $100 administration fee. In case of a no-show or cancellation within 60 days of the retreat start date, you will be charged for the full price of the retreat. 
4. If the Participant leaves the retreat before their reserved stay is over, no full or partial refunds will be credited. The guest leaving is responsible for transportation away from the retreat premises.
5. Participant agrees to purchase flight and travel insurance to cover all contingencies and expenses. Traveler’s Medical insurance should cover the full duration of the Event, including the dates of your travel.
6. We value all participants’ safety, experiences, healing processes and personal boundaries. We expect each participant to do the same. 
7. The Event facilitators reserve the right to send anyone home at any time at our discretion.
8. We reserve the right to withhold any ceremonies happening during the retreat. 
9. We reserve the right to not accept guests at the discretion of the Event facilitators.
